Whereas the applicant (“Applicant”) wishes to immigrate to Canada under the Manitoba Provincial Nominee Program (“MBPNP”) and wishes to engage the services of Ameri-Can International Capital Inc. (“ACIC”) in connection with the immigration application under the MBPNP:
鉴于申请人（“申请人”）希望通过曼省提名计划（“MBPNP”）移民到加拿大,并且自愿与美加宝国际基金公司（“ACIC”）签订此服务协议，委托ACIC在曼省提名计划条款下实施移民申请。具体内容如下：

Applicant's Obligations
申请人责任

1. The Applicant promises to diligently pursue his or her immigration application to Canada and promises that all information provided to Canadian officials concerning the immigration application is and shall be true and correct. Applicant acknowledges that an exploratory visit to Manitoba is a prerequisite to applying under the MBPNP. Applicant further acknowledges that the MBPNP is a program for immigration to Canada for applicants who have a bona fide intention to settle in Manitoba.
申请人要保证从始至终坚持执行他/她的加拿大移民申请，并且保证提供给加拿大官方的所有涉及移民申请的信息和资料详实无误。申请人必须保证到曼省做至少一次的商务考察访问。申请人须明确MBPNP计划是为那些诚心诚意愿意在曼省定居的移民者所制定的。

2. Prior to receiving his or her permanent resident visa, the Applicant shall transfer cash proceeds of CAD$50,000 by bank draft or wire transfer as follows:
申请人取得加拿大永久居留签证前，需要通过银行汇票或者电汇的形式转帐$50,000加元的项目服务及管理费到ACIC指定帐户，具体支付程序如下：

1) CAD$20,000 to ACIC upon confirmation that Manitoba officials are willing to interview the Applicant and;
曼省政府向申请人发出面试邀请函，而申请人也成功取得临时签证后，申请人转账$20,000加元到ACIC指定的帐户；

2) CAD$30,000 to ACIC upon issuance of Pre-nomination Letter from MBPNP.
曼省政府向申请人发出提名预批函后，申请人转账$30,000加元到ACIC指定的帐户。

3. The Applicant acknowledges that one of the conditions of the MBPNP is that the Applicant undertakes a business venture in Manitoba, which may take the form of a joint venture with an existing business in Manitoba ("MB Business").
申请人须知晓MBPNP计划要求申请人承诺在曼省经营一家当地的公司，其形式可以是与当地现有的公司合资经营（曼省商务计划）。

4. The $50,000 deposited by the Applicant with ACIC shall be ACIC's service fee for assistance with the applications to the Government of Manitoba for a nomination certificate and to the Government of Canada for a permanent resident visa, arranging the tour during the exploratory trip to Manitoba (the Applicant is responsible for his or her own accommodations, transportation, interpreter costs and meals), sourcing companies for the purposes of establishing Joint Venture, assisting in the preparation of the required business plan, and coordinating the Investment.
申请人付款ACIC的$50,000加元用途包括：ACIC协助申请人申请曼省提名证书和加拿大政府的永久居留签证的服务费；协助申请人在曼省考察访问期间的安排费用（申请人在加拿大考察访问期间一切食宿、交通、向导和翻译等费用需自己承担）；为申请人寻找合适的公司组建合资企业以及协助提供申请人所需要的商务计划与投资项目运作的费用。

5. The Applicant authorizes ACIC to access any information relating to the Applicant's immigration application.

6. ACIC will provide to the Applicant the services described in paragraph 4 above.

7. ACIC agrees that if the Applicant is in compliance with his or her obligations under this agreement and is rejected by the Manitoba government all money deposited with ACIC less $2,500 will be refunded. If the Applicant is in compliance with his or her obligations and is refused by the Canadian Federal government, all money deposited with ACIC will be refunded to the Applicant less $5,000. In case of rejection, all funds deposited with the Escrow Agent shall be refunded to the Applicant. Such refund will, in each case, be paid within 30 days of receipt by ACIC of a copy of the rejection letter from the government.
如果申请人按规定履行了其在协议中的所有责任, 而没有取得曼省提名，ACIC承诺在扣除$2,500加元后退还申请人所有已支付的项目服务及管理费用。如果申请人最终未能取得加拿大的移民签证，ACIC承诺在扣除$5,000加元后退还申请人所有已支付的项目服务及管理费用；同时，申请人汇款至监管账户中的投资款将无息全额退还给申请人。以上提及的退款一旦发生，ACIC将在收到加拿大官方政府出示的拒绝函后的三十天之内，退还至申请人指定的帐户。

This Agreement shall be governed by the laws of Manitoba. All dollar amounts are expressed in Canadian currency. In the event this Agreement is written in two languages, the English version shall supersede the version in the other language.
本协议书一式三份，受曼省政府法律保障。协议书中出现的货币单位均为加拿大元。这份协议书用两种语言拟定，最终以英文版本为准。
